Cardano News - Cardano Foundation Votes Against Toto Copper Reserve as EMURGO and Yoroi Abstain

The Cardano Foundation has voted against Toto Finance’s proposal to create a physical copper reserve using 22 million ADA from the Cardano Treasury. EMURGO and the Yoroi delegated representative, or DRep, abstained from the vote.

The Foundation raised concerns about control of the funds, the costs of the proposed reserve and protections that had yet to be established. EMURGO and Yoroi explained their abstentions in the context of their planned DRep deregistration on November 30.

Cardano Foundation Raises Custody and Cost Concerns

Toto Finance’s Cardano Strategic Copper Reserve proposal seeks Treasury funding to purchase physical copper and represent the metal through the CuTT token. Approximately 14.72 million ADA of the requested amount would be allocated to copper, with the remainder covering technology, operations, execution and oversight.

In its voting rationale, the Cardano Foundation recognized real-world asset tokenization as an opportunity for Cardano but opposed the proposed arrangement. It argued that the full withdrawal would go to an account controlled by Toto Finance while independent safeguards remained to be established.

The Foundation also questioned the project’s fee structure and the Treasury’s exposure to a single commodity. The proposed budget allocates 2.64 million ADA to Toto for technology and project management, with additional execution fees and a margin on eligible third-party invoices. Combined payments to Toto could reach approximately 3.36 million ADA.

Under the proposal’s illustrative calculation, copper would need to rise by approximately 49% for the Treasury to recover the full 22 million ADA if the full spending ceilings were used and the ADA-to-dollar exchange rate remained unchanged.

Toto Finance would hold legal title to the copper. The proposal calls for independent safeguards before the metal is purchased, while the Foundation raised concerns about how the Treasury’s interests would be protected if the company became insolvent.

EMURGO and Yoroi Explain Their Abstentions

Yoroi and EMURGO linked their decisions to the approaching end of their governance mandates. Both DReps are scheduled to deregister on November 30, although EMURGO has stated that the date could be extended under exceptional circumstances.

Yoroi explained that it would generally abstain from Treasury requests during the remainder of its mandate rather than commit funds to discretionary obligations extending beyond its active term. It identified exceptions for extraordinary and immediate strategic needs, including urgent network resilience and an indispensable enterprise deployment with strong institutional oversight.

EMURGO also stated that future governance representatives should decide on commitments with long-term consequences. Its policy reserves support for exceptional initiatives involving an immediate strategic necessity for Cardano’s survival, network security or global standing.

In epoch 664, Yoroi held approximately 401.3 million ADA in delegated voting power, while EMURGO held around 212.2 million ADA.

Cardano Treasury Vote Remains Open

According to the supplied Koios research, a snapshot taken on October 29 at 8:03 a.m. Central European Time recorded four DRep votes in favor, 76 against and five abstentions. The affirmative votes represented approximately 16.35 million ADA, or 0.37% of the voting power counted toward the approval threshold.

Treasury withdrawals require support from at least 67% of the applicable DRep voting power and approval from two-thirds of the Constitutional Committee. Abstentions are excluded from the DRep threshold calculation, while the voting power of active DReps who do not vote counts against approval.

Two Constitutional Committee members, Tingvard and Ace Alliance, had voted against the action by the time of the snapshot. Their published concerns included the location of the proposal’s governance document and the delegation status of the account designated to receive the funds.

The proposed reserve would hold the copper for 18 to 24 months before liquidation. Toto’s plan calls for net proceeds from the sale, together with unused or unearned funds, to return to the Treasury by month 36.
